CAGE RIOT PUBLISHING TERMS OF ADMINISTRATION
Effective Date: July 30, 2025 (Updated for Rolling Opt-In Model)
Welcome to Cage Riot Publishing. These Terms of Administration ("Terms") govern the non-exclusive publishing administration and optional sync licensing services provided to you by Cage Riot Publishing ("Publisher," "we," or "us"). By opting in to our services via the Cage Riot Publishing Opt-In Form, you agree to these Terms.

GRANT OF RIGHTS
1.1 You grant Publisher the non-exclusive right to administer your musical compositions (the "Compositions") throughout the world, to the full extent of your interest, for purposes including but not limited to: (a) Registration with PROs, MLC, YouTube, and licensing agencies; (b) Collection of mechanical royalties, performance royalties, and print income; (c) Monetization of micro-sync uses such as YouTube, TikTok, Facebook, and similar platforms; (d) Administration of licenses for cover versions, lyric licensing, and arrangement rights; (e) Optional pitching for traditional synchronization (film, TV, ads) only if you opt in and provide written approval.
1.2 You retain 100% ownership of your copyrights. No rights are transferred—only the right to administer and collect income on your behalf as outlined herein.

TERM AND TERMINATION
2.1 This agreement is effective on the date of your opt-in and continues on a rolling basis unless terminated by either party with 30 days' written notice.
2.2 After termination, Publisher may continue to collect royalties earned during the Term for 12 months (the "Post-Term Period"). -
COMMISSION AND PAYMENTS
3.1 Publisher shall retain 15% of Gross Receipts as an administration fee. Gross Receipts include all revenue actually received by Publisher in connection with your Compositions, excluding the writer's share of performance royalties, which is paid directly to you by your PRO. 3.2 Payments will be credited to your Cage Riot account quarterly and paid out monthly on the 15th. You are responsible for applicable banking fees. 3.3 If you opt in to sync licensing, Publisher will retain 25% of any gross sync fee collected for placements you approve in writing. -
REPRESENTATIONS AND WARRANTIES
You represent and warrant that:

You own or control the rights to the Compositions submitted;

You are at least 18 years old or have a legal guardian’s consent;

No third-party rights are being infringed;

All registration data you provide is accurate and kept up to date.

DISPUTES AND FRAUD
Publisher may withhold payments or freeze your account in cases of suspected fraud or rights disputes. If infringing or fraudulent activity is confirmed, affected royalties may be forfeited and legal recovery pursued. -
THIRD-PARTY OBLIGATIONS You are solely responsible for registering and administering only your share of the Compositions. Cage Riot Publishing administers only the shares you own or control. If your Compositions include contributions by co-writers, producers, or other rights holders, those individuals must be set up for their own publishing administration. If they are not currently administered, you may direct them to publishing@cageriot.com. You are not responsible for paying those third parties unless you have a separate agreement with them.

DOCUMENTATION AND SUPPORT
You agree to provide any documents or approvals needed to register, claim, or license your Compositions. Failure to do so may delay royalty collection but will not void the rights granted hereunder. -
TERMS UPDATES
Publisher may modify these Terms with notice. If you do not agree to any material change, you may terminate within 30 days of the update. -
GOVERNING LAW AND DISPUTE RESOLUTION These Terms shall be governed by the laws of the State of California. Any dispute arising out of or relating to these Terms shall be submitted to confidential binding arbitration conducted remotely (via video or teleconference) under the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California, but the parties agree to waive in-person appearance unless mutually agreed otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The parties waive their right to a jury trial and agree to resolve disputes solely through arbitration.
