This Distribution Agreement along with Terms of Service (this “Agreement ”) is a binding legal agreement between you and Wild Commitments, Inc a Wyoming company (“Cage Riot”, “our” or “us”) regarding your use of our Cage Riot service to distribute your sound recordings to selected digital services and stores(our “Service”), and any other uses of your sound recordings and musical compositions by Cage Riot and its licensees as described herein. If you are entering into this Agreement on behalf of one or more other people, a group, or a company or other entity, then by accepting this Agreement you represent and warrant to us that you are duly authorized to do so on behalf of all such person(s)/entity(ies) and to bind them to this Agreement, Cage Riot is fully entitled to rely on the fact that all people and entities included in the term "you" are in agreement, and we will perform accordingly under this Agreement.

We reserve the right to modify these Terms from time to time. In the event of any material changes, we will notify you by posting the amended terms on the Service at least thirty (30) days before the changes take effect. If you have a member account, we will notify you of any material changes to these Terms via email at least thirty (30) days before the changes take effect, ensuring we have your up-to-date email address on file is of utmost importance. By doing so, you can rest assured that you will be promptly notified of any significant updates or changes that may affect you. This proactive step will help us keep you well-informed and ensure a seamless communication flow between us. Additionally, you will need to actively accept the new Terms the first time you access the Service and log in to your user account once the new Terms are in effect. If you do not agree with the proposed changes, we recommend discontinuing your use of the Service before the new Terms take effect. By continuing to use the Service after the new terms take effect, you will be bound by the modified Terms.

By doing so, you are acknowledging your acceptance of this Agreement, which will become effective on the date you click (referred to as the "Effective Date"). It's crucial that you read and understand these terms in their entirety before proceeding.

To register, become a member of the Service and use our Distributor Sites, must be at least eighteen (18) years of age or older. Alternatively, if you are at least thirteen (13) years of age, you must have the consent of your parent(s) and/or legal guardian, you affirm that you are fully able and competent to (i) agree to the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms; and (ii) abide by and comply with these Terms. By representing this, you confirm that you meet the eligibility requirements outlined in this Section.

Cage Riot does not take any copyright or other interest in your music. You must own or have legal rights to reproduce and distribute all material you upload via Cage Riot. Including the right to make and distribute digital downloads embodying the musical compositions therein, and electronic transmissions of such musical compositions (including, without limitation, via streaming services). For example, you cannot upload remixes or recordings with samples without written permission from the songwriters and owners of the original recordings. If you upload any cover versions, you must email support to obtain licenses for a recording of musical compositions (fees may apply). Your cover versions won't be available in any digital store until we receive notice that the appropriate licenses have been cleared.

By utilizing our services, you grant us the rights, both during the agreed term and in the designated territory.

You are granted a non-exclusive, worldwide license to distribute, publicly perform, exhibit, broadcast, transmit, and make your sound recordings available to the public.
The right to sell, make sales promotion clips of, copy and otherwise, to the extent necessary under these Terms of Use, make use of and alter the sound recording and metadata and other materials, by all means and media, of which you submit to Cage Riot, through any and all Stores now available and operational and also the right to sublicense or otherwise transfer such rights to the Stores.
By submitting your name(s), photographs, likenesses, cover artwork, biographical information, and other relevant details to Cage Riot, you grant us the non-exclusive right to use them.
Cage Riot has the right to sublicense or transfer the above rights to any and all stores is reserved.
Cage Riot has the right to perform metadata corrections, where necessary.
The right for Cage Riot to synchronize and authorize others to synchronize your sound recordings with visual images, to combine portions of your sound recording with still or moving images, or as a live stream. The right to authorize third-party partners and/or licensees, that offer services permitting the creation, use, and exploitation of so-called “remixes” of your Recordings and so-called “user-generated content” embodying your Recordings, including, without limitation, Twitch, TikTok, Facebook, and Instagram.

By using the Distributor Sites, you agree to abide by certain conditions. You represent and warrant that you will not engage in any unlawful or prohibited activities, as outlined below:
Any use of the Distributor Materials and Distributor Sites, other than for personal use, is strictly prohibited. By using the Distributor Sites, you agree not to reproduce, duplicate, copy, sell, trade, resell, distribute, or exploit any portion of the content available on the sites, use of the Distributor Sites, access to the Distributor Sites, or Third-Party Content obtained through the Distributor Sites, for any purpose other than for your personal use.
By using the Distributor Sites, you agree to meet the eligibility requirements described in Section 1 above.
You agree not to engage in defamatory, harassing, abusive, threatening, stalking, or fraudulent behavior towards other Users. You also agree not to collect or attempt to collect personal information about Users or third parties without their consent.
You acknowledge and commit to refraining from engaging in any deliberate acts that may disrupt, harm, impair, or disable their operation. or negatively impact any user's experience. We expect you to uphold this commitment by all means necessary, including but not limited to refraining from uploading or disseminating viruses, worms, spyware, adware, or other malicious code, or placing a disproportionate load on the Distributor Sites with the intended result of denying service to other Users.
You agree not to remove, circumvent, disable, damage or otherwise interfere with, any security-related features of the Distributor Sites, any features that prevent or restrict the use or copying of any part of the Distributor Sites, or any features that enforce limitations on the use of the Distributor Sites.
You agree not to attempt to gain unauthorized access to the Distributor Sites or any part of it, other accounts, computer systems or networks connected to the Distributor Sites or any part of it, through hacking, password mining or any other means or interfere or attempt to interfere with the proper working of the Distributor Sites or any activities conducted through the Distributor Sites.
You agree not to obtain or attempt to obtain any materials or information through any means not intentionally made available through the Distributor Sites. You agree neither to modify the Distributor Sites in any manner or form (other than contributing User Content as enabled by the Distributor Sites’ functionality and in accordance with these Terms), nor to use modified versions of the Distributor Sites, including (without limitation) for the purpose of obtaining unauthorized access to the Distributor Sites.
You agree that you will not use any robot, spider, scraper, or other automated means to access the Distributor Sites for any purpose without our express prior written permission or bypass our robot exclusion headers or other measures we may use to prevent or restrict access to the Distributor Sites.
You agree not to utilize framing techniques to enclose any trademark, logo, or other Distributor Materials without our express prior written consent. You agree not to use any meta tags or any other “hidden text” utilizing Distributor's name or trademarks without Distributor's express prior written consent.
You agree not to use any Distributor logos, graphics, or trademarks as part of any web site links, including, but not limited to, links to the Distributor Sites, without our express prior written consent.
You agree not to make unsolicited offers, advertisements, proposals, or send junk mail or spam to other users of the Distributor Sites. This includes, but is not limited to, unsolicited advertising, promotional materials or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures.
You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Distributor Sites or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
You agree not to modify, adapt, translate, or create derivative works based upon the Distributor Sites or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
By using this service, you agree not to impersonate another person or entity, or falsely state or misrepresent your affiliation with any person or entity.

TERM AND TERMINATION

The terms of this Agreement shall commence and continue, referred to as the "Term," unless terminated by either Party under the terms of the Agreement.

Cage Riot reserves the right to terminate the Agreements or suspend your access to Cage Riot Services at any time, for any reason. This includes instances of actual or suspected unauthorized use of the Cage Riot Service and/or any content, as well as non-compliance with the Agreements.

Any sections of the Agreements that must remain in effect, either explicitly or by their nature, will survive termination.

Cage Riot values and upholds the importance of respecting copyrights and intellectual property rights. We expect all users of our Services to do the same. It is strictly prohibited to use our Service in connection with any content that you do not own, do not have the right to use, or that infringes upon the rights of third parties.

If you believe that your work has been reproduced or used in any way in connection with the Service, potentially constituting COPYRIGHT INFRINGEMENT you may notify us at info@cageriot.com Cage Riot reserves the right to terminate any account that, in Cage Riot's sole discretion, infringes upon the rights of any third parties. If Cage Riot receives a notification that any content you have submitted in connection with the Service infringes on these rights.
