Cage Riot Distribution Terms of Service

Effective Date: March 11, 2026

These Cage Riot Distribution Terms of Service ("Terms") govern your access to and use of Cage Riot’s distribution platform, dashboard, websites, and related services (collectively, the "Services"). These Terms are entered into by and between you ("you," "your," or "Client") and Wild Commitments Corp DBA Cage Riot Music Group ("Cage Riot," "we," "our," or "us").

By creating an account, clicking to accept, uploading content, or otherwise accessing or using the Services, you agree to be bound by these Terms, together with any applicable policies, fee schedules, plan details, addenda, or separate written agreements between you and Cage Riot.

If you do not agree to these Terms, do not use the Services.

1. About Cage Riot

Cage Riot is a division of Wild Commitments Corp DBA Cage Riot Music Group. We provide digital music distribution, monetization, royalty reporting, account tools, promotional support, and related artist and label services.

These Terms govern your general use of the Services unless a separate written agreement, program-specific terms, or service-specific terms between you and Cage Riot state otherwise. If there is a direct conflict between these Terms and a separate written agreement or service-specific terms accepted by you, those terms will control for that specific subject matter.

2. Eligibility and Account Registration

You represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into a binding agreement. If you use the Services on behalf of a band, label, company, or other entity, you represent and warrant that you have authority to bind that party to these Terms.

You agree to provide accurate, complete, and current registration, tax, payment, and account information, and to keep that information updated at all times.

You are responsible for all activity that occurs under your account, including activity by your employees, contractors, managers, collaborators, or anyone else you allow to access your account or materials.

You must maintain the confidentiality of your login credentials and promptly notify us of any unauthorized use of your account or any security breach.

We may require identity verification, tax documentation, payment verification, or other compliance information as a condition of opening, maintaining, or paying out on an account.

3. Services

The Services may include, without limitation, the ability to upload and distribute recordings and audiovisual content, deliver content to DSPs and UGC platforms, assign or manage identifiers such as ISRCs and UPCs, monitor reports, collect certain revenues, manage takedowns, and access optional promotional or related services.

We may add, remove, suspend, or modify features of the Services at any time. We do not guarantee that any specific feature, DSP connection, reporting feed, or optional service will remain available.

4. Your Content and Rights

For purposes of these Terms, "Content" means any sound recordings, music videos, artwork, metadata, lyrics, images, text, promotional materials, or other content you upload, submit, or authorize through the Services.

You represent and warrant that:

  1. you own or control all rights necessary to upload, distribute, monetize, and otherwise exploit the Content through the Services;

  2. the Content does not infringe, misappropriate, or violate any copyright, trademark, publicity, privacy, contract, or other rights of any third party;

  3. all metadata, credits, ownership information, split information, and release details you provide are accurate and complete;

  4. the Content does not contain uncleared samples, unauthorized uses, or misleading or fraudulent information; and

  5. you have obtained all permissions, approvals, waivers, licenses, and consents necessary for Cage Riot to perform the Services.

You remain solely responsible for any disputes relating to ownership, credits, splits, collaborator claims, producer claims, sampling, publishing, neighboring rights, or other rights issues connected to your Content.

5. License to Cage Riot

By submitting Content through the Services, you grant Cage Riot a non-exclusive, worldwide, sublicensable license during the term of your use of the Services to host, store, reproduce, encode, convert, transmit, distribute, monetize, display, promote, and otherwise use the Content and related materials as reasonably necessary to provide the Services and related promotional activities.

This license includes the right to deliver your Content to DSPs, social and UGC platforms, video platforms, and other approved partners; to use your provided name, image, likeness, artist name, logos, artwork, videos, and other promotional assets to market your releases and Cage Riot’s related services; and to edit metadata as reasonably necessary for technical, formatting, clarity, delivery, compliance, or reporting purposes.

This license is limited to purposes connected to distribution, monetization, administration, reporting, and promotion of your Content and the Services.

6. Distribution and Delivery

Cage Riot will use commercially reasonable efforts to distribute approved Content to the DSPs, territories, and services selected through the platform or otherwise agreed by us.

We do not guarantee acceptance, placement, availability, timing, formatting, visibility, editorial treatment, monetization, or continued availability on any DSP or platform. DSPs and third-party services maintain their own rules, policies, eligibility criteria, metadata standards, and business practices, and may reject, delay, remove, demonetize, restrict, or alter Content at any time.

We may delay or reject delivery if Content fails quality control, contains incomplete or inaccurate information, appears to violate rights or policies, presents fraud risk, or otherwise creates legal, technical, reputational, or operational concerns.

7. Metadata, ISRC, UPC, and Corrections

You are responsible for the accuracy of all metadata submitted with your Content.

Cage Riot may correct, edit, normalize, reject, or assign metadata, ISRCs, UPCs, label names, release information, and related identifiers as reasonably necessary to meet DSP, platform, technical, reporting, or compliance requirements.

Where practical, we may notify you before material corrections, but we are not obligated to obtain prior approval before making metadata or compliance-related changes needed to perform the Services.

8. Revenue Share, Plans, and Fees

Unless otherwise stated in the selected plan, dashboard, checkout flow, onboarding materials, or a separate written agreement, Client will receive one hundred percent (100%) of streaming revenue actually received by Cage Riot from DSPs for Client’s Content.

For UGC and social media monetization revenue, including YouTube Content ID, TikTok, Facebook, Instagram, Lickd, and similar platforms or services, Client will receive eighty-five percent (85%) of revenue actually received by Cage Riot, and Cage Riot will retain fifteen percent (15%).

Cage Riot may offer certain accounts or plans on a free-to-access basis. For any plan designated by Cage Riot as a free account, Cage Riot reserves the right to introduce, modify, or replace that free plan with a monthly or annual subscription fee, or other pricing structure, at any time upon prior notice. Any such change will apply prospectively and will not retroactively alter royalties already accrued under the prior pricing structure.

Cage Riot intends to maintain pricing that is competitive within the independent distribution market, while reserving the right to update pricing, plan features, fees, and service structure over time.

Some services, programs, or custom arrangements may have different pricing, fees, or revenue share terms. The Cage Riot Artist Marketing Program (AMP) is governed by separate Cage Riot AMP Terms.

If Client enrolls in AMP or another separately offered program, the applicable program terms will control for that program and will supersede these Terms to the extent of any conflict.

Any publishing administration, collection, registration, or related publishing services offered by Cage Riot are governed separately by the applicable Cage Riot Publishing Terms.

If Client enrolls in Cage Riot publishing services, the applicable publishing terms will control for those services and will supersede these Terms to the extent of any conflict.

9. Royalties and Payouts

Royalties and other amounts shown in your dashboard are provisional until finalized by Cage Riot and remain subject to reporting delays, DSP adjustments, reversals, fraud review, ownership disputes, chargebacks, tax issues, payment issues, and other compliance reviews.

Unless otherwise stated in your plan or separate agreement, royalties are generally posted monthly to your dashboard after they are reported to us by third parties and processed by our systems.

Cage Riot may establish minimum payout thresholds and may require valid tax documentation, identity verification, payment onboarding, and other compliance steps before releasing funds.

You are responsible for any fees charged by your payment provider, bank, currency conversion provider, intermediary processor, or receiving institution.

10. Withholding, Offsets, Reversals, and Reserves

Cage Riot may withhold, delay, reserve, reverse, adjust, offset, or recoup royalties or other amounts where reasonably necessary for any of the following:

  1. fraud review or artificial streaming review;

  2. DSP, platform, or third-party reversals, clawbacks, refunds, or reporting corrections;

  3. ownership disputes, split disputes, or conflicting claims;

  4. copyright, trademark, publicity, or other legal claims;

  5. tax compliance, KYC, AML, sanctions, or payment processor issues;

  6. overpayments, duplicate payments, or accounting corrections;

  7. breach of these Terms or any related agreement;

  8. suspicious, deceptive, manipulative, or prohibited activity; or

  9. other legitimate legal, financial, reputational, or operational risk.

We may maintain reserves for as long as reasonably necessary to address the relevant risk or issue.

11. Fraud, Artificial Activity, and Manipulation

You may not engage in, encourage, purchase, authorize, or benefit from artificial, fraudulent, deceptive, misleading, or manipulative activity connected to your Content or account. This includes, without limitation, stream farming, bots, click fraud, fake engagement, artificial playlist manipulation, fake followers, misleading traffic schemes, fraudulent ad activity, abuse of Content ID, or deceptive metadata practices.

If we suspect or determine that your Content or account is connected to fraud, artificial activity, platform abuse, or similar misconduct, we may suspend or terminate your account, remove or block Content, withhold or reverse royalties, decline future distribution, notify affected third parties, and pursue any other remedy available under law or contract.

12. Prohibited Content and Conduct

You may not use the Services to upload, distribute, or exploit Content that is unlawful, infringing, defamatory, deceptive, hateful, exploitative, threatening, abusive, or otherwise prohibited by law or by the policies of Cage Riot or its partners.

You may not use the Services to impersonate others, submit false information, upload content you do not own or control, interfere with the platform, scrape or reverse engineer the Services, bypass security controls, or use the Services in a way that exposes Cage Riot or its partners to legal or reputational harm.

13. Promotional Use of Name, Image, and Assets

You grant Cage Riot the right to use your artist name, legal name where necessary, likeness, approved photos, artwork, logos, videos, release titles, and other promotional assets you provide for the purpose of promoting your music, releases, and Cage Riot’s related services across Cage Riot-controlled channels, including websites, social media, advertising, email communications, playlists, release announcements, and related marketing materials.

We will not use your name or likeness to endorse unrelated third-party goods or services without your separate consent.

14. Takedowns and Termination by You

You may request removal of eligible releases from the Services by using our platform tools or by contacting support, subject to any applicable plan terms, active commitments, hold periods, fraud review, rights disputes, unrecouped balances, custom agreement restrictions, or third-party platform requirements.

Cage Riot will use commercially reasonable efforts to initiate takedowns after an eligible request is processed, but we do not guarantee immediate or complete removal from all platforms or third-party services. Residual availability may continue due to caching, reporting lags, downstream systems, archives, platform delays, or partner limitations.

Termination of your account does not automatically remove Content already delivered to DSPs unless takedown procedures are separately completed and accepted.

15. Suspension and Termination by Cage Riot

Cage Riot may suspend, restrict, reject, remove, or terminate your account or Content, with or without notice, if:

  1. you breach these Terms or any related agreement or policy;

  2. you provide false, misleading, incomplete, or outdated information;

  3. your Content or account presents infringement, fraud, sanctions, compliance, reputational, or operational risk;

  4. we are required or requested to do so by a DSP, rights holder, payment provider, regulator, or legal authority;

  5. you fail to complete required identity, tax, or compliance processes; or

  6. we determine in good faith that continued service is not appropriate.

Relevant sections of these Terms will survive termination, including payment, indemnity, limitation of liability, dispute resolution, and rights-protection provisions.

16. Intellectual Property of Cage Riot

The Services, platform, website, dashboard, software, design elements, text, logos, trademarks, workflows, and other Cage Riot materials are owned by or licensed to Cage Riot and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, reproduce, modify, reverse engineer, distribute, or exploit any part of the Services or Cage Riot intellectual property without prior written consent.

17. Privacy and Data

Your use of the Services is also subject to our Privacy Policy. You are responsible for ensuring that any personal data you upload or provide through the Services is lawfully collected and shared and that you have obtained any necessary notices or consents.

18. Indemnification

You agree to defend, indemnify, and hold harmless Cage Riot, its affiliates, officers, directors, employees, contractors, agents, and partners from and against any claims, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your Content;

  2. your breach of these Terms or any related agreement or policy;

  3. your infringement or violation of any third-party right;

  4. your fraud, deception, misrepresentation, or unlawful conduct;

  5. your ownership, authorship, split, credit, or licensing disputes; or

  6. your misuse of the Services.

19. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAGE RIOT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

CAGE RIOT DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ANY PARTICULAR PLATFORM OR BUSINESS OBJECTIVE.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAGE RIOT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOSS OF DATA, LOSS OF BUSINESS, OR REPUTATIONAL HARM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAGE RIOT’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT OF ROYALTIES ACTUALLY PAID TO YOU BY CAGE RIOT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

21. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS in Los Angeles County, California, except that either party may seek injunctive or equitable relief in court for intellectual property violations, misuse of the Services, or other urgent matters requiring immediate relief.

You agree that any arbitration or dispute proceeding will be conducted on an individual basis and not as part of any class, collective, coordinated, or representative action.

22. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we may provide notice by email, dashboard notice, or other reasonable means. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms, except where additional consent is required by law.

23. Notices

We may provide notices to you by email, dashboard notification, website posting, or other reasonable means using the contact information associated with your account. You are responsible for keeping your contact information current.

24. Miscellaneous

These Terms, together with any incorporated policies and any applicable separate written agreements, constitute the entire agreement between you and Cage Riot regarding the Services.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Cage Riot may assign its rights and obligations under these Terms. You may not assign your rights or obligations without Cage Riot’s prior written consent.

Failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
