Cage Riot Distribution – Terms of Service

  1. Who We Are
    Cage Riot Distribution (“Cage Riot,” “we,” “our,” or “us”) is a division of Wild Commitments Corporation, a Wyoming S Corporation, operating under the Cage Riot Music Group brand. We help artists and labels distribute, monetize, and promote their music across digital platforms like Spotify, Apple Music, Amazon Music, and more. These Terms are governed by the laws of California.

  2. Revenue Share & Fees
    We offer multiple distribution plans to fit your needs. We do not charge upfront distribution fees beyond the selected monthly plan. Here's how revenue sharing works:

Note: Streaming royalties are calculated based on net revenue received from DSPs after deductions for platform fees, taxes, and currency conversions.

All plans receive 85% of net revenue from UGC platforms, including YouTube Content ID, TikTok, Instagram Reels, and Facebook.

​

Exclusive artists may have different terms under their custom agreement.

  1. Royalties & Payouts
    Royalties are posted monthly to your Cage Riot dashboard by the 15th of each month (or the next business day if it falls on a weekend or U.S. holiday). Once your balance reaches $10 or more, we automatically issue your payout via your selected method. You are responsible for any transaction or currency conversion fees charged by your payment provider.

  2. Your Representations
    By using our services and uploading content, you confirm:

  • You own or control all rights to your music, including recordings and compositions, or have secured written permission from rights holders.

  • Your music does not infringe on any third-party rights and contains no unlicensed or uncleared samples.

  • Your metadata is accurate, not misleading, and compliant with DSP standards.

  1. Content Standards & Delivery Requirements
    We reserve the right to reject or delay the release of any content that:

  • Does not meet the technical specifications or quality standards required by digital platforms

  • Contains incomplete metadata or missing rights information

  • Is determined to be unlawful, infringing, or otherwise inappropriate for distribution

You are responsible for ensuring your content is correctly formatted and submitted in accordance with our guidelines.

  1. Fraud & Artificial Activity
    You agree not to engage in or authorize any fraudulent, artificial, or deceptive practices intended to manipulate streaming numbers, engagement, or monetization (including stream farms, bots, or click fraud). Cage Riot reserves the right to withhold or revoke royalty payments linked to such activity and may suspend or terminate your account without notice.

  2. Metadata, ISRC, and Compliance Corrections
    We may edit or assign metadata, ISRC codes, or UPCs as necessary to meet platform requirements, correct errors, and ensure accurate delivery and royalty tracking. When possible, we will notify you in advance of material changes.

  3. Our Rights & Responsibilities
    You grant Cage Riot the right to:

  • Distribute, deliver, monetize, and promote your music on DSPs and UGC platforms globally

  • Edit metadata as needed for accuracy, clarity, or platform compliance

  • Use any photos, artwork, logos, videos, and other marketing assets you provide—as well as your name and likeness—to promote you and your releases across Cage Riot-controlled platforms (e.g., website, social media, email, newsletters, and advertising)

You grant Cage Riot the right to use your provided materials (including name, image, artwork, and other promotional assets) for marketing and promotional purposes directly related to your music and its release, without requiring prior approval. We will not use your name, likeness, or assets to promote unrelated third-party products or services without your express written consent.

By submitting materials, you grant Cage Riot a non-exclusive, royalty-free license to use them solely for the purpose of promoting and distributing your content.

  1. Termination & Takedown
    You may request removal of your releases at any time by emailing support@cageriot.com. We’ll begin takedown from platforms within a reasonable timeframe.

While we make reasonable efforts to ensure full takedown, we cannot guarantee complete removal from all platforms or third-party services due to caching, archiving, or delays outside our control.

Cage Riot may suspend or terminate your account if you violate these Terms, engage in fraud or infringement, or fail to comply with platform usage policies. Relevant sections of this agreement remain enforceable after termination.

  1. Indemnification
    You agree to defend, indemnify, and hold harmless Cage Riot and its affiliates from any legal claims, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms

  • Copyright or intellectual property infringement

  • Fraudulent activity or misrepresentation

  • Violation of applicable laws or third-party rights

  1. Limitation of Liability
    Cage Riot is not liable for indirect, incidental, special, or consequential damages, including lost income or business opportunities. Our total liability to you under these Terms is limited to the royalties paid to you during the 12-month period prior to the claim.

  2. Dispute Resolution & Governing Law
    These Terms are governed by the laws of California. All disputes will be resolved through binding arbitration administered by JAMS in Los Angeles County, CA.

Either party may seek court intervention (injunctive relief) for issues related to intellectual property or urgent legal matters.

  1. Changes to These Terms
    We may update these Terms at any time. You will be notified via email or your dashboard at least 30 days in advance. Your continued use of our services after the effective date means you accept the updated Terms.
